1. About These Terms

These Terms of Use govern your use of the Efficentia website (www.efficentia.co.uk) and the professional services provided by Efficentia Ltd (Company No. 17125516), registered at 33 St. Vincent Road, Walton-On-Thames, England, KT12 1PA.

By accessing our website or engaging our services, you agree to these terms. If you do not agree, you should not use our website or services.

2. Our Services

Efficentia provides AI consultancy services including, but not limited to:

• –AI audits and readiness assessments
• –AI strategy and roadmap development
• –AI implementation and automation builds
• –AI training and team enablement
• –Integration with client systems for the purpose of analysis and optimisation

The specific scope, deliverables, timeline, and commercial terms for any engagement are set out in a separate Statement of Work (SOW) or client agreement. In the event of conflict, the SOW takes precedence over these terms.

3. Use of Our Website

You may use our website for lawful purposes only. You must not:

• –Use the site in any way that violates applicable laws or regulations
• –Attempt to gain unauthorised access to any part of the site or its infrastructure
• –Introduce malicious code, viruses, or harmful material
• –Scrape, copy, or reproduce content without our express written permission

4. Client Obligations

Where you engage Efficentia to access your systems or data, you confirm that:

• –You have the authority and necessary rights to grant us access to the systems and data in scope
• –You have informed relevant individuals where required under applicable data protection law
• –The data and systems you provide access to do not infringe any third-party rights
• –You will cooperate in good faith and provide timely access to information, personnel, and systems reasonably required for delivery

5. AI Tools and Data Processing

Our services may involve the use of third-party AI tools (including OpenAI and Anthropic) to process and interpret data. By engaging our services where AI tools are used:

• –You acknowledge that data may be processed by these sub-processors
• –You confirm you have appropriate authority and legal basis to share the data with us for this purpose
• –You agree to execute a Data Processing Agreement (DPA) with us prior to us accessing any personal data held within your systems

We will use AI tools responsibly, within the agreed scope, and will not use client data to train AI models.

6. Intellectual Property

6.1 Our IP

All content on this website, including text, graphics, methodology, and branding, is owned by or licensed to Efficentia Ltd. You may not reproduce or use it without written permission.

6.2 Deliverables

Unless otherwise agreed in writing, upon receipt of full payment, Efficentia grants the client a licence to use the deliverables produced under an engagement for their own internal business purposes. Efficentia retains ownership of any underlying methodologies, frameworks, tools, and know-how developed independently of the engagement.

6.3 Client Materials

You retain ownership of all data, systems, and materials you provide to us. You grant us a limited licence to access and use them solely for the purpose of delivering the agreed services.

7. Confidentiality

Both parties agree to keep confidential any non-public information received in connection with an engagement. This obligation does not apply to information that:

• –Is or becomes publicly available through no fault of the receiving party
• –Was already known to the receiving party at the time of disclosure
• –Is required to be disclosed by law or regulatory authority

Confidentiality obligations survive termination of any engagement for a period of three years.

8. Limitation of Liability

To the maximum extent permitted by law:

• –Efficentia's total liability to you in connection with any engagement shall not exceed the fees paid by you to us in the three months preceding the claim
• –We are not liable for indirect, consequential, or loss of profit claims
• –We are not liable for outcomes resulting from decisions you make based on our recommendations
• –We are not liable for any failure or inaccuracy in third-party AI tools used in the delivery of services

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Indemnity

You agree to indemnify and hold harmless Efficentia Ltd, its directors, and employees against any claims, losses, or damages arising from:

• –Your breach of these terms
• –Your provision of data or system access you were not authorised to provide
• –Your use of our deliverables outside the agreed scope

10. Payment Terms

Unless otherwise agreed in a SOW:

• –Invoices are due within 14 days of the invoice date
• –We reserve the right to suspend work on overdue accounts
• –Late payment interest may be charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

11. Termination

Either party may terminate an engagement by giving written notice as specified in the relevant SOW. Upon termination:

• –Any fees due for work completed to date remain payable
• –Each party will return or destroy the other's confidential information
• –We will delete or return client system data in accordance with the DPA

12. Governing Law

These terms and any disputes arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. Clients under active engagements will be notified of material changes.
